P&P EDITING CONTRACT AGREEMENT

This Contract Agreement (“Agreement”) is made and entered into on this day of [Month], [Year], by and between:

Writer (Client): [Writer’s Full Name], contactable via email at [Editor’s Email Address]

WHEREAS, the Writer seeks to engage the services of the Editor to provide editing services, and
WHEREAS, the Editor agrees to provide said services under the terms and conditions set forth below,

NOW, THEREFORE, the parties hereto agree as follows:

1. Scope of Work

The Editor agrees to provide the following editing services for the Writer:

2. Compensation

  • The Writer agrees to pay the Editor a total fee of for the agreed-upon editing services.
  • Payment will be made via PayPal. The Writer agrees to pay an upfront payment of within 5 days of the signing of this contract. The remaining balance of is due within 5 days of receiving the completed edit.

3. Revisions

  • The Editor agrees to meet with the Writer to discuss edits and associated questions for up to 15 minutes at no additional cost, if requested by the Writer.
  • Additional requested revisions of the submitted pages within the scope of the original service and project will be completed at a 50% discount.

4. Deadlines

  • The Editor agrees to deliver the edited content by .
  • If the Editor requires a delay to deliver completed edits, the Editor will contact the Writer no less than one week prior to the original deadline and submit a new deadline. If the Writer does not agree to the adjusted deadline, the Editor will submit all completed edits and the Writer will render remaining payment only for the work completed. If the completed work is less than the upfront payment, the Editor will issue a refund for the difference.

5. Ownership and Copyright

  • All rights to the original content remain with the Writer.
  • The Editor will not claim any ownership of the content being edited, and all changes made to the document are considered the Writer’s intellectual property.

6. Confidentiality

  • The Editor agrees to maintain the confidentiality of all documents and information provided by the Writer.
  • Both parties agree not to disclose any confidential information regarding the project, including drafts, edits, or proprietary business details.

7. Termination

  • Either party may terminate this Agreement with 7 days’ notice in writing.
  • In the event of termination by the Writer, the Editor will be compensated for services rendered up to the termination date.
  • In the event of termination by the Editor, the Writer will be refunded any fees paid for work not yet completed.

8. Indemnification

The Writer agrees to indemnify and hold harmless the Editor from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from the content’s use, including but not limited to any issues related to intellectual property or copyright infringement.

9. Independent Contractor Status

Both parties agree that the Editor is an independent contractor and not an employee of the Writer. The Editor is responsible for paying all applicable taxes on income earned under this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

11. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter herein.
